"Services" refers to the business consulting services we provide, including turnaround advisory, working capital optimization, restructuring consultation, and related advisory services.

"Agreement" refers to these Terms and Conditions, together with any engagement letter or service agreement entered into between you and Beacon Advisory.
2. Acceptance of Terms
By accessing our website or engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our website or services.
You represent that you are at least 18 years of age and have the legal capacity to enter into binding agreements. If you are acting on behalf of an organization, you represent that you have the authority to bind that organization to these terms.

Beacon Advisory provides business consulting services to organizations navigating complex situations. Our services include, but are not limited to:
Turnaround Advisory Services: Guidance for businesses experiencing financial distress, including stakeholder communication strategies and turnaround planning.
Working Capital Optimization: Analysis and recommendations to improve cash flow, receivables management, payables practices, and inventory efficiency.
Restructuring Consultation: Support for organizational change initiatives, cost structure analysis, and change management.
The specific scope, deliverables, timeline, and fees for any engagement will be set forth in a separate engagement letter or service agreement, which together with these Terms and Conditions will govern the engagement.
4. Service Availability
Our services are primarily offered to businesses and organizations operating in Hong Kong and the greater Asia-Pacific region. We may, at our discretion, provide services to clients in other jurisdictions.
While we strive to maintain consistent availability of our website and services, we do not warrant that access will be uninterrupted or error-free. We reserve the right to suspend or discontinue any aspect of our services at any time without notice.
5. Client Responsibilities
When engaging our services, you agree to:
Provide accurate, complete, and timely information necessary for us to perform our services effectively.
Cooperate with our team and make key personnel available as reasonably required.
Review and provide feedback on deliverables in a timely manner.
Comply with all applicable laws and regulations in connection with the services.

6. Acceptable Use

8. Payment Terms
Fees for our services will be set forth in the applicable engagement letter or service agreement. Unless otherwise specified:
An initial deposit may be required before work commences, as specified in the engagement letter.
Fees are typically invoiced monthly or at project milestones, as agreed.
Payment is due within 30 days of invoice date unless otherwise specified.
All fees are quoted and payable in Hong Kong Dollars (HKD) unless otherwise agreed.
Late payments may be subject to interest at a rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.
We reserve the right to suspend services if payment is not received within 60 days of the invoice date.
9. Refund Policy
Given the nature of consulting services, refunds are generally not provided for work already performed. However:
If we are unable to commence an engagement after receiving a deposit, we will refund the deposit in full.
If an engagement is terminated early by mutual agreement, fees will be prorated based on work completed to date.
Any disputes regarding fees should be raised within 14 days of receiving an invoice. We are committed to resolving billing concerns fairly and promptly.
10. Confidentiality
We understand that our clients share sensitive business information with us. We maintain strict confidentiality practices and will not disclose your confidential information to third parties without your consent, except as required by law or as necessary to perform our services.
Confidential information includes financial data, business plans, strategic information, and any other information designated as confidential or that would reasonably be understood to be confidential.
Our confidentiality obligations do not apply to information that is publicly available, independently developed by us, or received from a third party without restriction.
11. Disclaimers
Our services are provided on an "as is" basis. While we strive to deliver high-quality advisory services, we make no warranties or representations regarding:
The achievement of any specific outcomes or results from our services.
The accuracy or completeness of any information on our website.
The suitability of our services for your particular situation.
Our advice is based on the information provided to us and the circumstances at the time. Business outcomes depend on many factors beyond our control, including market conditions, management decisions, and third-party actions.
Our services do not constitute legal, accounting, or tax advice. You should consult with qualified professionals in those disciplines as appropriate for your situation.
12. Limitation of Liability
To the fullest extent permitted by law, Beacon Advisory's total liability to you for any claims arising out of or related to our services or these Terms and Conditions shall not exceed the total fees paid by you to us for the specific engagement giving rise to the claim.
In no event shall we be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, business interruption, or loss of data, even if we have been advised of the possibility of such damages.
These limitations apply regardless of the form of action, whether in contract, tort, negligence, strict liability, or otherwise.
13. Indemnification
You agree to indemnify, defend, and hold harmless Beacon Advisory and our officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your breach of these Terms and Conditions, your misuse of our services, or your violation of any applicable laws or regulations.
14. Termination
Either party may terminate an engagement upon written notice as specified in the applicable engagement letter or service agreement. In the absence of such specification:
Either party may terminate for convenience with 30 days' written notice.
Either party may terminate immediately for material breach that remains uncured for 14 days after written notice.
Upon termination, you shall pay for all services rendered and expenses incurred up to the date of termination.
Sections of these Terms relating to intellectual property, confidentiality, disclaimers, limitation of liability, and indemnification shall survive termination.
15. Force Majeure
Neither party shall be liable for any failure or delay in performing obligations under these Terms if such failure or delay results from circumstances beyond the reasonable control of that party, including but not limited to natural disasters, acts of government, civil unrest, pandemics, or failures of third-party telecommunications or power supply.
16. Dispute Resolution
These Terms and Conditions shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region.
In the event of any dispute arising out of or in connection with these Terms, the parties shall first attempt to resolve the dispute through good faith negotiation. If the dispute cannot be resolved through negotiation within 30 days, either party may submit the dispute to mediation administered by the Hong Kong Mediation Centre.
If mediation is unsuccessful, the parties agree to submit to the exclusive jurisdiction of the courts of Hong Kong for resolution of the dispute.
17. General Provisions
Entire Agreement: These Terms and Conditions, together with any applicable engagement letter, constitute the entire agreement between you and Beacon Advisory with respect to the subject matter hereof.
Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
Assignment: You may not assign or transfer these Terms or any rights hereunder without our prior written consent. We may assign our rights and obligations to a successor in interest.
Notices: All notices under these Terms shall be in writing and delivered to the addresses specified in the engagement letter or, for Beacon Advisory, to the address listed below.
